We don't run token sales. We don't do IEOs. We don't DM "allocations." If someone calls you promising HEIR Spaces tokens at a discount for a wire transfer — that's a scam. We only operate through the three mechanisms below.
01Path A · Kickstarter (anyone, rewards only)
When the HeirPay Kickstarter opens, anyone can back any tier — $25 to $5,000 CAD. Rewards include merch, platform credits, $HEIR airdrops (framed as gifts, not as investment). Not an investment. No equity. No returns promised.This is the path 90% of people should take.
02Path B · Buy $HEIR on a DEX (anyone)
$HEIR is a fixed-supply ERC-20 on Base mainnet. Anyone can buy it on Uniswap or Aerodrome at market price. Holding $HEIR gets you promotional perks on each Space (ride discounts, subscription discounts, transfer fee discounts). It is not sold by us — you're buying from another market participant peer-to-peer.
The token address is public. Read the contract. Verify the supply. Verify the burn address. No one at HEIR Spaces can mint more, pause transfers, or freeze your wallet.
$HEIR is a promotional perk token, not a security. Holder benefits are gratuitous courtesies from individual Space operators, framed intentionally to avoid securities classification. Buying it does NOT give you ownership of any HEIR Space company, any voting rights, or any claim on future revenue. If a Space fails, your $HEIR doesn't get refunded. DYOR. Only deploy capital you can lose.
03Path C · Private placement (accredited only)
For accredited investors who want real equity in HEIR Spaces Inc. (the Canadian holding company that operates HEIRIDE and the SDK): we do private placements under National Instrument 45-106 (Canadian exempt-distribution rules). SAFE or convertible note structures, minimum $25,000 CAD, cap-table spot, quarterly investor updates.
You must qualify as an accredited investor per NI 45-106 §1.1 before we can even send you the term sheet. The most common qualifying conditions:
- Net income > $200,000 in each of the last 2 years (or > $300,000 combined with spouse), and reasonable expectation of same this year
- Net assets > $5,000,000 alone or with spouse
- Financial assets > $1,000,000 alone or with spouse (excluding residence)
- Registered as an adviser or dealer under securities laws
- Institutional investor under section 1.1 of the instrument

04What to avoid (red flags)
Anyone DMing you saying they can "get you in early" on a $HEIR allocation before public listing, offering discounted tokens for a wire transfer, or claiming to be a HEIR Spaces team rep asking for money is a scammer.
